Terms of Service

1. Scope of Services

By engaging Yb1 Construction LIMITED ("Agency"), you ("Client") agree to these Terms of Service. The specific digital marketing services, deliverables, and timelines will be detailed in a separate Statement of Work (SOW) which, once signed, becomes part of this agreement. Services may include SEO, PPC, content marketing, social media management, and related analytics and reporting.

2. Payment Terms

Fees for services are outlined in the SOW. Most services are provided on a recurring monthly retainer, payable in advance. All third-party costs, such as advertising spend on platforms like Google Ads or Meta, are the sole responsibility of the Client and are not included in the Agency's service fees. Invoices are due upon receipt. Failure to make timely payments may result in the suspension of all services.

3. Client Responsibilities

The Client agrees to provide timely access to all necessary materials, personnel, and digital properties (e.g., website logins, ad account access) required for the Agency to perform its duties. The Client warrants that all materials provided to the Agency do not infringe on any third-party intellectual property rights.

4. Confidentiality

The Agency agrees to treat all Client information, including business strategies, customer data, and performance metrics, as confidential. This information will not be disclosed to any third party without the Client's prior written consent, except as required by law. Similarly, the Client agrees to keep the Agency's proprietary strategies and processes confidential.

5. Legal Disclaimers and Limitation of Liability

The Agency will perform its services with professional skill and care. However, the Agency cannot guarantee specific results. The digital marketing landscape is volatile, and outcomes can be affected by factors outside the Agency's control. Therefore, Yb1 Construction LIMITED makes no warranty or guarantee of any kind regarding search engine rankings, traffic increases, or sales revenue. The total liability of the Agency for any claim arising from this agreement shall not exceed the total fees paid by the Client to the Agency in the three (3) months preceding the claim.

6. Term and Termination

The initial term of the agreement will be defined in the SOW. Following the initial term, the agreement may continue on a month-to-month basis. Either party may terminate this agreement with thirty (30) days written notice. Upon termination, the Client is obligated to pay for all services rendered up to the effective termination date.

7. Ownership of Work Product

Upon full payment of all outstanding invoices, the Client shall own the rights to all final creative deliverables and reports produced by the Agency for the Client. The Agency retains the right to use the work for its own portfolio and marketing purposes and retains ownership of its underlying proprietary tools, methodologies, and pre-existing materials.

8. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the jurisdiction where Yb1 Construction LIMITED is legally established.
